Terms and Conditions of Sale & Purchase 1. Schneider National Leasing, Inc., or the applicable owner of the Equipment described above (Schneider), reserves the right to cancel this sale at any time, for any reason. 2. Upon receipt of payment-in-full of the amount referenced above (plus any and all storage fees charged as set forth above), Schneider shall convey and transfer to Customer good and valid title to the above-referenced Equipment .3. Schneider warrants that it is the current owner of the Equipment, and that it has the legal right and power to transfer and convey the Equipment to Customer free and clear of any and all liens or encumbrances established by Schneider. 4. Any statements by Schneider with respect to the condition of the Equipment (i) are made based upon information and belief and may be subjective to Schneider, (ii) shall not constitute warranties or representations, and (iii) are not guaranteed in any manner by Schneider. Customer acknowledges that it is Customer"s obligation to independently understand the condition of the Equipment prior to purchase. Schneider shall have no obligation to repair the Equipment. ALL SALES ARE FINAL, AND NO REFUNDS OR EXCHANGES SHALL BE ALLOWED. . 5. Schneider shall have no obligation to review or execute any documents provided by Customer or Customer"s lender in connection with the sale and purchase of the Equipment. Schneider reserves the right, in its sole discretion, to refuse to execute or review any such documents. In the event that Schneider refuses to review and/or execute such documents, Customer"s sole remedy shall be to terminate the purchase and sale of the Equipment, and Customer expressly waives any other rights or remedies which it may have at law or in equity with respect to such refusal.
6. CUSTOMER ACKNOWLEDGES AND AGREES THAT THE EQUIPMENT IS BEING TRANSFERRED “AS-IS”, IN ITS PRESENT CONDITION AND LOCATION AND WITHOUT ANY WARRANTIES (EXCEPT FOR THE WARRANTY OF GOOD TITLE), REPRESENTATIONS, OR GUARANTEES OF ANY KIND WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY REGARDING FITNESS FOR A PARTICULAR PURPOSE OR USE, ANY WARRANTY OF MERCHANTABILITY OR ANY WARRANTY WITH RESPECT TO THE CONDITION OF THE EQUIPMENT FOR USE. SCHNEIDER EXPRESSLY DISCLAIMS ANY SUCH WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY WITH RESPECT TO THE CONDITION OF THE EQUIPMENT. IN NO EVENT SHALL SCHNEIDER BE RESPONSIBLE FOR ANY DAMAGES ARISING PRIOR TO, IN CONNECTION WITH, OR AFTER THE SALE OF THE EQUIPMENT INCLUDING, WITHOUT LIMITATION, ANY SPECIAL, INCIDENTIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES. CUSTOMER HAS BEEN GIVEN THE OPPORTUNITY TO INSPECT THE EQUIPMENT AND AGREES TO ACCEPT IT IN IT’S “AS-IS” CONDITION AND LOCATION.
7. THESE TERMS AND CONDITIONS OF SALE & PURCHASE, ALONG WITH ANY OTHER TERMS ON THIS BILL OF SALE/INVOICE (COLLECTIVELY, THE TERMS), CONSTITUTE THE ENTIRE AGREEMENT BETWEEN THE PARTIES WITH RESPECT TO THE PURCHASE AND SALE OF THE EQUIPMENT REFERENCED ABOVE, AND SUPERSEDE ANY PRIOR COMMUNICATIONS, UNDERSTANDINGS, OR OTHER AGREEMENTS BETWEEN THE PARTIES WITH RESPECT TO THE SALE OF THE EQUIPMENT (COLLECTIVELY, PRIOR COMMUNICATIONS) AND, UNLESS EXPLICITLY SET FORTH IN THESE TERMS, SUCH PRIOR COMMUNICATIONS SHALL BE DEEMED VOID AND INAPPLICABLE. TO THIS PURCHASE AND SALE. FOR THE SALE OF CLARIFICATION, THESE TERMS CONSTITUE THE SOLE AND EXLCUSIVE AGREEMENT BETWEEN THE PARTIES WITH RESPECT TO THE PURCHASE AND SALE OF THE EQUIPMENT.8. Schneider makes no representation or warranty, by selling the Equipment hereunder to Customer, that (i) the Customer shall be authorized to utilize such Equipment as an Independent Contractor/Owner-Operator (Independent Contractor) for Schneider (or any of its affiliated motor carrier entities), (ii) that Customer may lease with Schneider (or its affiliated motor carrier entities) as an Independent Contractor, or (iii) that any leasing opportunities exist with Schneider (or its affiliated motor carrier entities).
